These Terms & Conditions ("Terms") govern your use of the lotusprakitas website at lotusprakitas.live ("Site") and any engagement services provided by lotusprakitas ("we," "us," or "our"), a business registered in Bangkok, Thailand, operating from 77 Ratchadamri Road, Lumpini, Pathum Wan, Bangkok 10330. By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

1. Definitions

• "Service" refers to the AI integration consulting, training workshops, and governance engagement services provided by lotusprakitas.
• "User" refers to any individual or organisation accessing the Site or engaging our Services.
• "We/Us/Our" refers to lotusprakitas.
• "Engagement" refers to a specific service relationship formalised through a written proposal and acceptance.
• "Content" refers to all materials, documentation, frameworks, and deliverables produced as part of a Service engagement.

2. Acceptance of Terms

By using the Site or contacting us to initiate a service relationship, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms. If you are acting on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

3. Description of Services

lotusprakitas provides AI integration consulting, workforce training, and governance advisory services to business organisations. Our services are currently available to organisations based in or operating within Thailand. Specific service scope is defined in written proposals provided to each client prior to engagement commencement.

We reserve the right to decline to provide services to any prospective client at our discretion, without obligation to provide a reason.

4. Service Delivery

• All service engagements are formalised through a written proposal detailing scope, timeline, deliverables, and fee.
• Commencement of an engagement is subject to receipt of any required deposit or payment as specified in the proposal.
• We will deliver services using reasonable skill and care, in accordance with the agreed scope.
• Any significant change to scope during an engagement requires written agreement from both parties.

5. User Responsibilities

You agree to:

• Provide accurate and complete information when making enquiries or entering into an engagement.
• Cooperate in good faith during the delivery of engagement services, including making relevant personnel and information available as agreed.
• Use the Site and its content for lawful purposes only.
• Not misrepresent your identity or organisational authority.
• Not use the Site to transmit harmful, malicious, or unlawful content.

6. Intellectual Property

All content on the Site — including text, design, and structure — is the intellectual property of lotusprakitas and may not be reproduced or distributed without written permission.

Engagement deliverables (such as implementation plans, policy documents, and training materials) are produced specifically for each client. On full payment, the client receives a non-exclusive, non-transferable licence to use these deliverables internally. lotusprakitas retains the right to use anonymised methodologies and frameworks developed during engagements in future work.

7. Payment Terms

• Fees are quoted in Thai Baht (฿) and are subject to applicable VAT.
• Payment terms are specified in each written proposal. Standard terms require a deposit prior to commencement and balance on completion.
• Late payment may result in suspension of services. Overdue amounts accrue interest at the rate of 1.5% per month.
• Refunds are not available for services already delivered. For cancellations prior to commencement, refund terms are specified in individual proposals.

8. Disclaimers

Our services are provided to support informed decision-making about AI adoption. We do not and cannot promise specific operational outcomes, efficiency gains, or business results from the use of any AI tools explored during our engagements. All recommendations are based on professional judgement and available information at the time.

The Site is provided "as is" without warranty of any kind. We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components.

9. Limitation of Liability

To the extent permitted by Thai law, lotusprakitas's total liability to any client for any claim arising out of or in connection with a service engagement shall not exceed the total fees paid for that engagement.

We are not liable for any indirect, incidental, consequential, or special damages, including loss of business, revenue, data, or goodwill, arising from use of our services or the Site, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold lotusprakitas and its personnel harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of our services or the Site.

11. Confidentiality

Both parties agree to treat as confidential any non-public information shared during an engagement. This obligation survives the end of the engagement for a period of three years. Exceptions apply where information is independently known to the receiving party, becomes public through no fault of that party, or is required to be disclosed by law.

12. Termination

Either party may terminate an engagement by providing written notice where the other party has materially breached the engagement terms and failed to remedy the breach within 14 days of written notice. We reserve the right to suspend or terminate access to the Site for users who violate these Terms.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand, and governed by Thai law.

14. General Provisions

• Entire agreement: these Terms, together with any written proposal, constitute the complete agreement between the parties.
• Severability: if any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: failure to enforce any provision does not constitute a waiver of the right to do so.
• Notices: formal notices must be in writing and sent to the addresses specified in the engagement proposal.

15. Changes to These Terms

We may update these Terms from time to time. Changes take effect on the date they are published on the Site. Continued use of the Site or our services after a change constitutes acceptance of the revised Terms.
